Central Business Associates Pty Ltd - Our mission is to provide a shared, professional, community-driven workspace. It exists because of you and for you. As a Member/User, you will not only be a client of Central Business Associates; you will be an active part of the local business community.

Terms and Conditions

I hereby agree that the services provided to me by Central Business Associates Pty Ltd business centre (T/A CENTRAL BUSINESS ASSOCIATES are subject to the following Terms and Conditions of Use. Please note, If you have a sub-tenancy agreement with CENTRAL BUSINESS ASSOCIATES, sections inside areas marked with * * are not applicable.

LIMITED RIGHTS TO USE OF CENTRAL BUSINESS ASSOCIATES BUSINESS CENTRE

I understand that this does not constitute a lease or sublease but is only a license to use The Centre.

I understand that any annual membership is a privilege that may be revoked at CENTRAL BUSINESS ASSOCIATES discretion, subject to the rules of this agreement. If my membership is revoked, I understand that CENTRAL BUSINESS ASSOCIATES will return my membership dues for the remaining period of membership, and I agree to forfeit my membership, keys, and any other evidence of membership.

*I understand that all amenities provided by CENTRAL BUSINESS ASSOCIATES, including but not limited to; opening hours, availability of a particular working area, use of the printer, or availability of the Internet are not included in the cost of membership. These amenities are made available through booking space in the centre, which is a separate arrangement (memberships include free trial hours coworking, and these should be booked directly with the Centre Director). *

*I understand that my use of The Centre may on occasion be disrupted. This may include, but is not limited to: (i) the offering of events or services on the premises that are not included in the standard membership and that may require additional fees to attend or use, and (ii) the need to move to another work area, and under exceptional circumstances to vacate the premises entirely. *

*I understand that CENTRAL BUSINESS ASSOCIATES will do its best to announce to the member community in advance any known changes or disruptions to member access to The Centre or to the use of services provided by CENTRAL BUSINESS ASSOCIATES. *

PAYMENTS FOR MEMBERSHIP and/or BOOKINGS

Payment for Membership is annual. You will receive an invoice, which must be paid before the services of The Centre may be utilised, or the discounted rates become applicable. You will receive a new invoice for membership renewal shortly before your Annual Membership expires, and should you choose not to renew, the discounted rates and centre services will no longer be available to you from the final date of your membership. There is an option to pay your membership monthly. The minimum term for membership remains 12 months, and you will therefore have 12 regular monthly payments taken from your chosen account.

Payment for services such as room hire or event attendance must be made before your booking will be confirmed.

CENTRAL BUSINESS ASSOCIATES SECURITY POLICY

CENTRAL BUSINESS ASSOCIATES uses the Paypal Payment Gateway for its online transactions. Paypal processes online transactions for thousands of Australian merchants, providing a safe and secure means of collecting payments on the Internet.

DELIVERY OF SERVICE POLICY

After completing your booking, you will receive an email confirmation containing your booking details (if you have provided your email address). We will normally confirm receipt of your booking within a few minutes.

CANCELLATION AND REFUNDS POLICY

Full payment is required at the time of booking. If you decide to cancel within 48 hours from the time of the booking, the refundable amount is 50% of the Total Rental fee. If you decide to cancel after 48 hours, but more than 7 days before the booking date, the refundable rate amount is 25% of the Total Rental fee.

If you are a non-member, you must have reviewed the Central Business Association terms and conditions. Separate damage, cleaning and key/FOB deposits may be required, particularly if your booking is for outside CENTRAL BUSINESS ASSOCIATES normal business hours. We will inform you if this is necessary and will provide separate receipts accordingly. The damage, cleaning and key/FOB deposit is due at least 7 days before your booking date and will be refunded to you within 7 days after your event provided there is no damage to the space or additional cleaning required, and all keys are returned.

The cancellation policy is in effect once you confirm that you want to proceed with the booking and make a payment.

INDEMNIFICATION AND LIMITED LIABILITY

CENTRAL BUSINESS ASSOCIATES carries Public Liability and Personal Property insurance for property belonging to CENTRAL BUSINESS ASSOCIATES and The Centre. As a Member/User, it is strongly suggested that you carry your own liability and personal property insurance policy to cover your own property and to protect yourself against damage to CENTRAL BUSINESS ASSOCIATES, The Centre, or other Members’/Users personal belongings.

Members/Users are solely responsible for loss of and/or damage or theft to their equipment and belongings brought to or used at CENTRAL BUSINESS ASSOCIATES. Member/User agrees that CENTRAL BUSINESS ASSOCIATES is not responsible for any loss and/or damage or theft of belongings that occurs at The Centre.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the services, you will not use The Centre for any purpose that is unlawful and/or prohibited by these terms, conditions and notices. You may not use the services in any manner that could damage, disable, overburden, or impair any CENTRAL BUSINESS ASSOCIATES server, or the network(s) connected to any CENTRAL BUSINESS ASSOCIATES use and enjoyment of any Services. You may not attempt to gain unauthorized access to any services, or accounts, computer systems or networks connected to any CENTRAL BUSINESS ASSOCIATES server or to any of the services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the services. You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this agreement and no further authorisation or approval is necessary. You further represent and warrant that your participation or use of the services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which you are a party.

USE OF SERVICES

You agree that when participating in or using the services, you will not:

  1. Use the services in connection with contests, pyramid schemes, chain letters, junk email, or spamming (as per Spam Act 2003);
  2. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
  3. Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through CENTRAL BUSINESS ASSOCIATES servers;
  4. Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same;
  5. Use any material or information, including images or photographs, which are made available through the services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
  6. Upload files that contain viruses, corrupted files, or property of another; eg. Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner;
  7. Restrict or inhibit any other user from using and enjoying the services;
  8. Violate any code of conduct of other guidelines which may be applicable for any particular service;
  9. Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;
  10. Violate any applicable laws or regulations; and
  11. Create a false identity for the purpose of misleading others.

CENTRAL BUSINESS ASSOCIATES reserves the right at all times to disclose any information about you, your participation in and use of the services, as CENTRAL BUSINESS ASSOCIATES deems necessary to satisfy any applicable law, regulation, legal process or governmental request; or to edit, refuse to post or to remove any information or materials, in whole or in part, in CENTRAL BUSINESS ASSOCIATES sole discretion.

KEY-HOLDER RESPONSIBILITIES

A key-holder is deemed to be any person who takes possession of keys to The Centre. Key-holders acknowledge and accept responsibility for the security of the main doors to The Centre. The key-holder is expected to secure The Centre when either they believe they are the last person on the premises or any time after 6pm. Key-holders must sign the key-holder agreement and should the key be lost a $20 replacement fee must be paid. (Keys will normally only be made available to Full or Part-Time office tenants – only in special circumstances will other members be given a key; e.g. Out of hours agreed attendance.)

N.B. Air Conditioning (AC) and lights must also be switched off before securing The Centre.
